These Terms of Service ("Terms") govern your access to and use of Nivora, the residential-society management platform provided by [LEGAL ENTITY NAME], operating under the brand Vidyron ("Vidyron", "we", "us", or "our").

Nivora includes its mobile applications, web applications, software, APIs, dashboards, integrations and related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, you must not access or use the Services.

1. About Vidyron and Nivora

Vidyron is a technology company building a connected ecosystem of software products.

Nivora is Vidyron's residential-society management platform.

Nivora is designed to provide a role-based operating system for residential societies, including functionality for society committees and management, residents and members, watchmen and security personnel, staff and other authorised users.

The Services may include visitor and gate management, maintenance billing and payments, notices, polls, community communication, amenities, complaints, staff management, parking, security functionality, AI-assisted features and other society-management functionality.

Vidyron may introduce additional products and services in the future. Products or services described as "coming soon", "in progress", "preview", "beta" or otherwise not generally available are not part of the currently available Nivora Services unless expressly made available to you.

2. Definitions

For these Terms:

"Society Data" means information submitted to or generated through Nivora in connection with a Society's use of the Services.

"User Content" means content submitted or generated by a User through the Services, including messages, photographs, complaints, suggestions, documents, voice notes and other material.

"Personal Data" has the meaning given to it under applicable data-protection law.

  • your use complies with applicable law and these Terms.

If you access Nivora on behalf of a Society, you represent that you have authority to act on behalf of that Society for the relevant activities.

You are responsible for maintaining the security of your account credentials.

You must:

  • keep passwords, PINs, verification codes and other credentials confidential;
  • use only your own account unless expressly authorised otherwise;

You must not:

  • attempt to access another User's account; or
  • circumvent account verification.

Vidyron may suspend or require re-verification of an account where reasonably necessary to protect the Services or Users.

7. Society Data and Data Separation

Nivora is designed as a multi-tenant platform.

Vidyron uses technical and organisational controls designed to keep each Society's residents, bills, visitors, records and other Society Data logically separated from other Societies.

A Society's data is not intentionally made available to another Society except where:

  • authorised by the relevant Society;
  • required to provide a requested integration or service;
  • necessary for legitimate operation of the Services; or
  • required by applicable law.

No technology platform can guarantee that an error, security incident or unauthorised access will never occur.

8. Personal Data and Privacy

Nivora may process Personal Data relating to:

  • residents;
  • owners;
  • tenants;
  • visitors;
  • committee members;
  • Society administrators;
  • watchmen and security personnel;
  • Society staff;
  • domestic help;
  • delivery personnel;
  • service providers;

  • other persons whose information is submitted or generated through the Services.

Depending on the Services used, Personal Data may include:

  • name;

  • email address;
  • residential/unit information;
  • profile information;
  • visitor information;
  • visitor photographs or images;

  • parking information;
  • maintenance and billing information;
  • payment-related information;
  • staff attendance and payroll information;
  • complaint and suggestion information;
  • messages and voice notes;
  • photographs uploaded with complaints;
  • amenity bookings;
  • Society event information;
  • donation-related information;
  • security-event information;
  • device and technical information;
  • authentication information; and
  • information generated through use of AI or security features.

The actual information processed depends on the Services enabled by the Society and the User's role.

Vidyron will handle Personal Data in accordance with applicable law, the applicable Privacy Policy and the relevant contractual arrangements.

9. Society and Vidyron Data Responsibilities

Depending on the relevant processing activity, the Society and Vidyron may have different responsibilities under applicable data-protection law.

The Society is generally responsible for:

  • determining Society-specific purposes and operational requirements;
  • providing lawful instructions to Vidyron;
  • maintaining accurate Society-controlled information;
  • determining appropriate User access;
  • providing appropriate notices to residents, visitors and other persons where required;
  • obtaining consent or relying on another lawful basis where required;
  • configuring security and access workflows appropriately; and
  • ensuring that its use of Nivora complies with applicable law.

Vidyron is responsible for its own obligations under applicable law and for processing information in accordance with its agreements, applicable privacy documentation and lawful instructions.

Nothing in these Terms transfers or removes a responsibility that applicable law places directly on Vidyron, the Society or another party.

10. Privacy Notice

Vidyron's Privacy Policy explains how Vidyron handles Personal Data.

The Privacy Policy may describe:

  • categories of Personal Data;
  • purposes of processing;
  • data-sharing practices;
  • security measures;
  • retention practices;
  • User rights;
  • consent and withdrawal mechanisms where applicable; and
  • privacy contact mechanisms.

The Privacy Policy should be read together with these Terms.

For Society-controlled processing, the Society may also provide additional notices or privacy information.

Where a separate written Data Processing Agreement applies between Vidyron and a Society, that agreement will govern the relevant processing relationship to the extent of any conflict.

11. Visitor and Gate Management

Nivora may allow residents to:

  • invite visitors;
  • generate QR-code visitor passes;
  • share visitor details;
  • submit visitor requests; and
  • manage expected visitors.

Watchmen or authorised security personnel may:

  • scan visitor QR codes;
  • verify visitor information;
  • approve or reject access according to Society procedures;
  • record gate passes; and
  • manage related access information.

The Society is responsible for determining its visitor and gate-access policies.

Vidyron provides technology to facilitate those policies.

Vidyron does not independently guarantee that a visitor is authorised to enter a Society.

12. QR-Code Gate Passes

QR-code passes may be used to assist with visitor verification.

A QR code may contain or reference information necessary for the relevant visitor-access workflow.

Users must not:

  • forge QR codes;
  • duplicate passes for unauthorised purposes;
  • intentionally share a visitor pass with an unauthorised person;
  • tamper with pass information; or
  • use a pass to circumvent Society security procedures.

The Society and its authorised security personnel remain responsible for gate-access decisions.

13. Parking Management

Nivora may provide parking-management functionality, including:

  • parking allocation;
  • parking records;
  • vehicle information;
  • live parking status;
  • parking-related access information; and
  • related Society administration.

The Society is responsible for determining parking allocations and rules.

Vidyron does not independently determine ownership, entitlement or legal rights relating to a parking space.

14. Maintenance Bills

The Society may use Nivora to create, display and manage maintenance bills and other Society charges.

The Society is responsible for:

  • determining the amount of charges;
  • determining applicable billing periods;
  • configuring applicable penalties or adjustments;
  • ensuring the accuracy of billing information; and
  • resolving disputes about the underlying charges.

Vidyron provides software for recording, displaying, communicating and facilitating payment of such charges.

Unless expressly agreed otherwise, Vidyron does not determine whether a maintenance charge is legally or contractually payable.

15. Payments and UPI

Where enabled, Nivora may facilitate payment of Society dues using UPI or other supported payment methods.

Payment processing may involve third-party payment service providers.

A payment transaction may be subject to:

  • payment-provider terms;
  • bank processing;
  • UPI/network availability;
  • authentication requirements;
  • transaction limits;
  • fraud checks; and
  • other payment-system conditions.

Vidyron does not control every aspect of the banking or payment infrastructure.

A successful payment does not determine whether the underlying Society charge was correctly calculated.

16. Payment Failures, Refunds and Disputes

If a payment fails, is reversed, delayed or otherwise does not settle, the User may need to retry the transaction or contact the relevant payment provider.

Refunds, where applicable, may be subject to:

  • the Society's refund policy;
  • the applicable payment provider;
  • banking procedures; and
  • applicable law.

Disputes regarding the underlying maintenance charge should ordinarily be raised with the Society.

Disputes concerning payment processing may also need to be raised with the applicable payment provider.

17. Notices, Polls and Community Wall

Nivora may allow Society administrators or authorised committee members to:

  • publish notices;
  • conduct resident polls;
  • publish announcements;
  • share Society information; and
  • operate a community feed or wall.

The Society is responsible for official Society communications it publishes through Nivora.

A poll or community post does not automatically constitute a legally binding decision of the Society unless the Society separately determines that it has such effect under its governing rules and applicable law.

18. Community Content

Users may post or share content through the community wall, chat, complaints, suggestions or other features.

Users must not post:

  • unlawful content;
  • defamatory or threatening content;
  • abusive or harassing content;
  • private information of another person without authorisation;
  • fraudulent information;
  • content infringing third-party rights;
  • malicious software;
  • discriminatory or hateful content; or
  • content unrelated to the legitimate use of the relevant Society feature where such restriction applies.

Vidyron may remove, restrict or report content where reasonably necessary to protect Users, comply with law, enforce these Terms or maintain the Services.

19. Amenities Booking

Nivora may allow Users to book shared Society facilities such as:

  • clubhouses;
  • halls;
  • courts;
  • community spaces; and
  • other amenities configured by the Society.

The Society determines:

  • availability;
  • booking rules;
  • time limits;
  • fees, if any;
  • cancellation policies; and
  • eligibility.

Vidyron provides the booking technology and does not independently determine the Society's amenity policies.

20. Complaints and Suggestions

Users may submit complaints or suggestions through Nivora.

Complaints may include photographs, descriptions, locations or other information.

The Society is responsible for reviewing and resolving complaints.

Vidyron provides technology to record, route, track and communicate complaint status.

Submission of a complaint does not guarantee that the Society will accept, investigate or resolve it in a particular manner or timeframe.

21. Real-Time Chat and Voice Notes

Nivora may provide real-time messaging between Users according to their roles and permissions.

Features may include:

  • direct messaging;
  • Society/committee communication;
  • resident communication;
  • voice notes; and
  • other communication functionality.

Users are responsible for content they send.

Users must not use chat to:

  • harass or threaten others;
  • distribute unlawful material;
  • impersonate another person;
  • share confidential information without authority;
  • distribute malware;
  • conduct fraud; or
  • otherwise misuse the Services.

Chat and voice communications may be processed and stored as necessary to provide, secure and operate the Services, subject to applicable law and the Privacy Policy.

Nivora should not be treated as an emergency communication service.

22. Staff Management, Attendance and Payroll

Nivora may provide Society functionality for:

  • staff directories;
  • attendance;
  • payroll records;
  • tasks;
  • staff management; and
  • related operational information.

The Society is responsible for:

  • the accuracy of staff information;
  • attendance records;
  • payroll calculations or instructions;
  • access permissions; and
  • compliance with employment and other applicable laws.

Vidyron provides technology to facilitate these workflows and does not become the employer of Society staff merely because the Services are used to manage them.

23. Domestic Help and Service Providers

Nivora may allow Societies to manage access relating to domestic help, drivers, cleaners, cooks, maintenance workers, contractors and other service providers.

The Society is responsible for determining:

  • who is authorised;
  • what access is permitted;
  • what information is collected;
  • applicable access rules; and
  • how access is revoked.

Users must not create false or unauthorised records concerning another person.

24. Delivery Tracking

Nivora may provide functionality for managing or tracking deliveries entering or moving through a Society.

Delivery information may include:

  • delivery person's identity;
  • delivery status;
  • entry or exit information;
  • resident/unit information;
  • vehicle information; or
  • other information necessary for the delivery workflow.

The Society determines applicable delivery procedures.

Vidyron does not guarantee the physical delivery of any item.

25. Society Events and Donations

Nivora may provide functionality for:

  • Society events;
  • event information;
  • participant information;
  • donations;
  • donation tracking; and
  • related Society administration.

The Society is responsible for determining:

  • the purpose of an event;
  • event rules;
  • donation recipients;
  • donation amounts;
  • accounting;
  • refunds; and
  • applicable legal or tax requirements.

Vidyron does not independently certify the legitimacy, tax treatment or charitable status of any donation or event.

26. Tasks, Rules and Shared Assets

Nivora may allow Societies to manage:

  • operational tasks;
  • Society rules;
  • shared assets;
  • maintenance activities;
  • responsibilities; and
  • related records.

The Society is responsible for the accuracy and authority of the information entered into these features.

27. Reports and PDF Export

Nivora may provide reports and PDF export functionality.

Exports may contain Personal Data, financial information, Society records or other confidential information.

Users who generate or download an export are responsible for:

  • protecting the exported file;
  • sharing it only with authorised persons;
  • storing it securely; and
  • complying with applicable privacy and confidentiality obligations.

Vidyron is not responsible for unauthorised disclosure caused by a User after the User has lawfully downloaded an export, except to the extent required by applicable law.

28. AI Assistant

Nivora may provide an AI assistant that allows Users to ask questions by text or voice.

Depending on the User's role and permissions, the AI assistant may provide information relating to:

  • Society operations;
  • Society notices;
  • bills;
  • amenities;
  • rules;
  • available information;
  • other Nivora functionality; and
  • other information made available through the Services.

AI-generated responses may be incomplete, inaccurate, outdated or unsuitable for a particular situation.

The AI assistant does not:

  • make binding Society decisions;
  • replace Society administrators;
  • replace emergency services;
  • provide legal advice;
  • provide financial advice;
  • guarantee billing accuracy; or
  • guarantee the accuracy of information supplied by Users or the Society.

Users should verify important information before relying on an AI-generated response.

29. AI Data Use

Vidyron may process information necessary to operate and improve AI-assisted features in accordance with applicable law, the Privacy Policy and the applicable contractual arrangements.

Society Data will not be used to train general-purpose AI models in a manner inconsistent with the applicable Privacy Policy, Society agreement or applicable law.

Where a particular AI feature requires a different or additional data-use practice, Vidyron will provide the applicable disclosure or obtain the required authorisation where legally necessary.

30. AI Security Recognition

Nivora may provide AI-powered security recognition functionality, including:

  • face recognition or face matching; and
  • number-plate recognition.

These features may process camera events and generate reviewable security alerts.

The purpose of these features is to assist authorised Society committee and security personnel in reviewing relevant security events.

31. Face Recognition

Face-recognition functionality may compare an image or camera event against information configured or made available for an authorised Society security workflow.

Recognition may be affected by:

  • lighting;
  • camera placement;
  • image quality;
  • facial angle;
  • movement;
  • occlusion;
  • changes in appearance;
  • hardware limitations;
  • network conditions;
  • software limitations; and
  • other environmental or technical factors.

Recognition may therefore produce:

  • false positives;
  • false negatives;
  • missed detections;
  • incorrect matches; or
  • no result.

A recognition result must not be treated as conclusive proof of a person's identity or authorisation.

Where consequential action is required, authorised Society personnel should use appropriate human verification.

Vidyron does not guarantee that face recognition will identify every person correctly or prevent unauthorised access.

32. Number-Plate Recognition

Number-plate recognition may be used to assist with vehicle and security-event identification.

Results may be affected by:

  • lighting;
  • weather;
  • camera position;
  • vehicle speed;
  • plate visibility;
  • plate condition;
  • obstruction;
  • image quality;
  • vehicle angle;
  • hardware; and
  • other technical or environmental factors.

Number-plate recognition may therefore produce inaccurate or incomplete results.

Users and Society personnel should independently verify important information before taking consequential action.

Vidyron does not guarantee that every vehicle or number plate will be detected or identified correctly.

33. Security Event Review and CCTV Integration

Where enabled, Nivora may integrate with CCTV or camera systems to surface selected security events or snapshots for review by authorised Society committee or security personnel.

Nivora's security-event functionality is not a continuous live CCTV monitoring service unless a separate Service expressly states otherwise.

The functionality is designed to surface selected events or snapshots for authorised review and acknowledgement.

Camera availability, image quality, connectivity, integration configuration and third-party hardware may affect the availability or accuracy of security events.

Vidyron does not guarantee that every security event will be detected, recorded, transmitted, displayed or reviewed.

34. Security Alerts

Security alerts may be generated from:

  • camera events;
  • recognition results;
  • gate activity;
  • visitor activity;
  • other configured security events.

Alerts are intended to assist human review.

An alert does not necessarily establish that:

  • a crime has occurred;
  • a person is unauthorised;
  • a vehicle is suspicious;
  • a security threat exists; or
  • immediate action is required.

Society security personnel remain responsible for evaluating alerts and taking appropriate action.

35. SOS Functionality

Nivora may provide a one-tap SOS feature allowing an authorised User to send an emergency alert to designated Society committee or security personnel.

The SOS feature may generate push notifications and related alerts.

SOS functionality:

  • is an alert mechanism;
  • is not an emergency-response service;
  • does not guarantee that a recipient will receive or respond to an alert;
  • depends on device, network, notification and system availability; and
  • does not replace police, ambulance, fire services or other emergency authorities.

In an emergency, Users should contact the appropriate emergency service directly.

Vidyron does not guarantee any particular response time or physical intervention following an SOS alert.

36. No Guarantee of Security Outcomes

Nivora is designed to assist Society security and administration.

However, no software, camera system, AI system, gate-management system or alert mechanism can guarantee that:

  • unauthorised entry will never occur;
  • theft will never occur;
  • fraud will never occur;
  • an emergency will never occur;
  • every security event will be detected;
  • every recognition result will be correct; or
  • every alert will be delivered or acted upon.

The Society remains responsible for maintaining appropriate physical security procedures and human oversight.

37. User Content

Users may submit:

  • photographs;
  • complaints;
  • suggestions;
  • messages;
  • voice notes;
  • documents;
  • visitor information;
  • other information.

Users represent that they have the necessary rights and authority to submit such content.

Users must not submit content that:

  • violates law;
  • infringes another person's rights;
  • contains malicious code;
  • is fraudulent;
  • is deliberately misleading;
  • contains another person's private information without lawful authority; or
  • is otherwise prohibited by these Terms.

38. Licence to Operate the Services

You retain applicable ownership rights in User Content.

You grant Vidyron a limited, non-exclusive, worldwide licence to host, store, transmit, reproduce, process, display and otherwise use User Content only as reasonably necessary to:

  • provide the Services;
  • maintain the Services;
  • secure the Services;
  • troubleshoot problems;
  • perform requested operations;
  • comply with law;
  • enforce these Terms; and
  • perform other activities permitted by the applicable Privacy Policy or contractual arrangement.

Vidyron does not acquire ownership of User Content merely because it is submitted through Nivora.

39. Intellectual Property

All rights, title and interest in Nivora and Vidyron technology remain with Vidyron or its licensors.

This includes:

  • software;
  • source code;
  • object code;
  • APIs;
  • designs;
  • interfaces;
  • trademarks;
  • logos;
  • graphics;
  • documentation;
  • workflows;
  • databases;
  • system architecture;
  • AI technology;
  • algorithms;
  • models;
  • reports and templates; and
  • other intellectual property.

Except as expressly permitted, Users may not:

  • copy;
  • modify;
  • reproduce;
  • distribute;
  • sell;
  • lease;
  • sublicense;
  • reverse engineer;
  • decompile;
  • disassemble;
  • create derivative works from; or
  • commercially exploit

any part of Nivora.

Nothing in these Terms transfers ownership of Vidyron intellectual property to a Society or User.

40. Feedback

If you provide Vidyron with suggestions, ideas, recommendations, feature requests or other feedback, Vidyron may use that feedback without restriction or compensation, provided that Vidyron does not use or disclose Personal Data contrary to applicable law.

41. Third-Party Services

Nivora may depend on third-party services, including:

  • cloud infrastructure;
  • payment providers;
  • UPI infrastructure;
  • messaging providers;
  • SMS providers;
  • email providers;
  • AI technology providers;
  • camera systems;
  • security hardware;
  • telecommunications providers;
  • mapping services; and
  • other technology providers.

Third-party services may have separate terms and privacy policies.

Vidyron is not responsible for a failure that is solely caused by a third-party service outside Vidyron's reasonable control, subject to applicable law and any express contractual obligations.

42. Service Availability

Vidyron aims to maintain reliable and available Services.

However, uninterrupted access is not guaranteed.

Services may be unavailable or degraded because of:

  • maintenance;
  • updates;
  • infrastructure failure;
  • internet failure;
  • telecommunications failure;
  • power failure;
  • third-party service failure;
  • hardware failure;
  • cybersecurity incidents;
  • natural disasters;
  • government action;
  • emergency security measures; or
  • other circumstances outside Vidyron's reasonable control.

Vidyron may modify, suspend or discontinue individual features where reasonably necessary.

43. Beta and Future Features

Features marked as:

  • beta;
  • preview;
  • experimental;
  • coming soon;
  • in progress; or
  • otherwise not generally available

may change, be suspended or be discontinued without notice unless otherwise agreed in writing.

Vidyron does not guarantee a particular launch date for future products or features.

44. Security Measures

Vidyron will maintain reasonable technical and organisational safeguards appropriate to the Services and applicable law.

Security measures may include:

  • access controls;
  • authentication;
  • role-based permissions;
  • logging;
  • infrastructure security;
  • monitoring;
  • backup procedures; and
  • other reasonable safeguards.

No internet-based system can be guaranteed to be completely secure.

Users and Societies must also maintain appropriate security practices.

45. Security Incidents and Data Breaches

If Vidyron becomes aware of a security incident involving Personal Data, Vidyron will take reasonable steps required by applicable law and its contractual obligations.

Where legally required and appropriate, Vidyron may notify the relevant Society or affected individuals through available communication channels.

The timing and content of notifications may depend on:

  • the nature of the incident;
  • applicable law;
  • regulatory requirements;
  • contractual obligations;
  • instructions from competent authorities; and
  • the need to protect the security of the investigation.

The Society and Vidyron will reasonably cooperate where required.

46. Society Responsibility

The Society is responsible for:

  • configuring its account;
  • appointing administrators;
  • assigning appropriate roles;
  • maintaining accurate Society information;
  • establishing access policies;
  • determining maintenance charges;
  • managing Society communications;
  • managing physical security procedures;
  • reviewing security alerts;
  • responding to complaints;
  • managing Society staff;
  • managing Society finances;
  • managing its own legal and governance obligations; and
  • complying with applicable law.

Vidyron provides technology to facilitate these activities.

47. User Responsibility

Users are responsible for:

  • information they submit;
  • communications they send;
  • visitor information they create;
  • use of their account;
  • content they upload;
  • actions taken using their permissions; and
  • complying with Society rules and applicable law.

48. Prohibited Use

You must not:

  • use Nivora for unlawful activity;
  • impersonate another person;
  • create fraudulent records;
  • submit false visitor information;
  • misuse QR passes;
  • misuse security alerts;
  • misuse SOS functionality;
  • attempt unauthorised access;
  • bypass permissions;
  • scrape Society information;
  • reverse engineer the Services;
  • introduce malicious code;
  • interfere with Nivora's operation;
  • conduct unauthorised security testing;
  • harvest Personal Data;
  • misuse face or number-plate recognition;
  • use Nivora to stalk, threaten or harass another person;
  • publish another person's private information without lawful authority;
  • attempt to manipulate billing or payment records; or
  • use the Services to circumvent Society security procedures.

49. Suspension

Vidyron may suspend access where reasonably necessary to:

  • protect the Services;
  • protect Users;
  • prevent fraud;
  • investigate unauthorised activity;
  • address security risks;
  • comply with law;
  • enforce these Terms; or
  • prevent misuse.

Where reasonably practicable, Vidyron may provide notice.

The Society may also request suspension or deactivation of a User where it has appropriate authority.

50. Termination by Society

A Society may terminate its use of Nivora in accordance with its applicable subscription or commercial agreement with Vidyron.

Termination may be subject to outstanding payments, contractual obligations and applicable data-retention requirements.

51. Termination by User

An individual User may stop using Nivora at any time.

However, stopping use of the application does not necessarily:

  • delete Society records;
  • remove information required for Society administration;
  • cancel outstanding maintenance charges;
  • terminate obligations to the Society; or
  • remove records that Vidyron or the Society is legally permitted or required to retain.

Requests concerning Personal Data should be made through the applicable privacy mechanism.

52. Termination or Suspension by Vidyron

Vidyron may suspend or terminate access where:

  • these Terms are materially violated;
  • continued use creates a security risk;
  • the Society's subscription ends;
  • payment obligations are materially overdue;
  • the Services are discontinued;
  • required by law; or
  • continued operation is reasonably necessary to be stopped for legal, security or operational reasons.

53. Data Export After Termination

Following termination of a Society's subscription, Vidyron may provide a reasonable period during which the Society can export available Society Data, subject to the applicable commercial agreement.

The export period may depend on:

  • the Society's subscription;
  • technical feasibility;
  • data type;
  • applicable law; and
  • the termination circumstances.

After the applicable export period, Vidyron may restrict or remove access to the Society account.

54. Data Retention and Deletion

Following termination or deletion of an account, Vidyron may delete or anonymise information in accordance with:

  • the applicable Privacy Policy;
  • the Society agreement;
  • the Data Processing Agreement;
  • applicable law; and
  • Vidyron's retention policies.

Information may be retained where reasonably necessary to:

  • comply with law;
  • establish or defend legal claims;
  • prevent fraud;
  • maintain security;
  • resolve disputes;
